Our name

A hive isn't just built to be defended.

Bees build a hive, grow and sustain the colony inside it, and — because what they've created has value — they defend it. That's the idea behind our name. Defense here isn't combative for its own sake; it's protective: we help people build something, help it grow, and help defend what they've built. For the founders we serve, equity isn't only financial — it's the broader promise of equitable access and opportunity. Defense means protecting the economic foothold someone worked hard to create.

Build

Business formation and structure — entity selection, filings, and the legal groundwork a new business needs to stand on solid ground.

Grow

Education and economic development — brand strategy, access to capital, and the resources that help a business reach its next stage.

Defend

Legal advocacy and protection — safeguarding the equity, ownership, and community a founder has built.

How support works

One nonprofit, three stages, one shared goal: your vision.

We stay with a business through the phases that are hardest to navigate alone — funded by grants and donations, so we can put the whole firm to work behind the person who's actually building it.

No. 01

Formation — the seed

We help you choose an entity, file the paperwork, and put a legal and financial foundation in place — the groundwork that's hardest to afford without a firm behind you.

No. 02

Launch — the sprout

Our advisors build out your brand, pricing, and go-to-market plan alongside you, and connect you to lenders and grant programs suited to your stage — with fees set on a sliding scale based on income.

No. 03

Expansion — the bloom

As the business grows, we stay on for hiring, systems, and introductions to larger capital — support that doesn't disappear once you're off the ground. This is where ownership starts to compound: a business built to last becomes an asset that can be passed down, reinvested, and grown into generational wealth.

A current project

Building an equity-owned manufacturing hub in San Francisco.

Equity Defense Firm serves as the workforce development and incubator partner for a proposed manufacturing and distribution facility operating under a shared license structure in San Francisco — supporting business incubation, product development, and job training for equity program participants, from seed to sale. A share of the facility's revenue funds an equity business grant program we administer, supporting the next generation of entrepreneurs in the sector.

Technical Support Provider for the Nation's Cannabis Equity Programs

In 2021, Equity Defense Firm was established as a nonprofit to serve as a Technical Support Provider for SF's equity program under a grant from the San Francisco Office of Cannabis. The program expanded to include providing technical support to equity applicants and owners across California, including SF, Oakland, Los Angeles, Sacramento, and Humboldt — and expanded EDF's services nationwide to New York, Minnesota, and Washington, D.C.:

Conducted more than 40 initial one-hour legal consultations with applicants and operators across San Francisco, Oakland, Los Angeles, Sacramento, and Humboldt counties
Represented an SF equity client before the San Francisco Planning Commission, winning unanimous approval of a 100% equity-owned retail dispensary permit
Partnered with the nation's first 100% equity-owned dispensary in Oakland and a compassionate-use equity collective operating under SB 34 to win a City of Oakland grant producing the nation's first equity-and-compassion onsite sales and consumption event
Obtained an event license — including a fee waiver — from the California Department of Cannabis Control on behalf of an equity operator
Applied for and obtained one of New York State's first social equity adult-use retail dispensary licenses
Drafted business entity documents — bylaws, board resolutions, and operating agreements — for multiple equity operators, spanning for-profit, nonprofit, and hybrid business structures
Negotiated letters of intent and commercial leases for multiple SF, Oakland, and Sacramento equity operators across green-zoned properties for dispensary, microbusiness, delivery, and distribution licenses
Advised numerous equity applicants and operators on local and state cannabis regulations under MAUCRSA and related compliance matters
Prepared state cannabis trademark applications and federal trademark applications filed with the USPTO
Drafted and negotiated Police Code Article 16 Incubator Agreements between SF equity owners, applicants, and general operators
Drafted numerous local permit and state license applications for equity operators across all commercial cannabis activities, including fee waiver preparation
Drafted standard operating procedures covering the full supply chain from seed to sale — security, inventory, and business operations — and regularly updates them to reflect regulatory changes
Provided counsel on corporate structure, governance, cannabis zoning, permitting, and land use issues
Changed business entity names and resolved multiple banking issues on behalf of equity operators
Reviewed cannabis facility floor plans and site plans, consulting with project architects
Negotiated a rent-repayment plan with a property owner under a COVID moratorium for an SF equity applicant
Assisted equity operators with finance and business development, including grant application preparation and administration
Created numerous investor pitch decks for equity operators and drafted private equity legal documents for project financing
Prepared pro formas and financial forecasts for equity operators, partnering with cannabis manufacturing finance consultants to build complex investor forecasts
Hosted a two-part webinar series on cannabis equity finance, covering deal structure and protecting equity interests, and capital raises and pitching to investors
What we provide

A full firm's worth of support, priced on a sliding scale based on income.

Each service line is staffed by professionals who volunteer time or work at reduced rates, coordinated by Equity Defense Firm so no founder has to hire, vet, or manage a team alone.

Legal Formation & Compliance

Entity selection, formation filings, contracts, and ongoing compliance from volunteer attorneys.

Accounting & Bookkeeping

Books, filings, and financial statements clean enough to bring to a lender or a grant reviewer.

Marketing & Brand

Positioning, identity, and a go-to-market plan built by people who've launched brands before.

Business Planning & Strategy

Pricing, hiring, and systems support from operators who've run companies at your stage.

Access to Capital

Introductions to community lenders, CDFIs, and grant programs matched to your stage.

Advising & Mentorship

A standing relationship with a founder or executive who's built something like what you're building.

Policy Advocacy

Beyond individual clients, we advocate for local, state, and federal policies that support successful equity ownership in the cannabis industry — including efforts to curb predatory investor activity that undermines the generational wealth equity owners are working to build.

Impact Litigation

Where individual and policy remedies fall short, we bring or support impact litigation addressing systemic barriers facing equity entrepreneurs — from discriminatory licensing and lending practices to predatory contracts — working alongside co-counsel and community partners to set precedent, not just resolve single cases.

Fiscal Sponsorship

Have a project or initiative that isn't ready to form its own nonprofit? We can serve as fiscal sponsor — accepting grants and tax-deductible donations on your behalf under our 501(c)(3) status, so you can focus on the work instead of the paperwork.

How we extend our reach

Partnering with law schools and public agencies to deliver more support, to more founders.

Our staff and volunteer network can only go so far alone. We build formal partnerships that add capacity, training pipelines, and public referral channels to the work.

Law School Clinics

We partner with clinical programs at local law schools to supervise students on real client matters — entity formation, contract review, and compliance work — under the direct oversight of our staff attorneys. Clients get additional capacity at no extra cost; students get hands-on training serving founders who'd otherwise go without counsel.

Public Agency Partnerships

Equity Defense Firm won a grant through the San Francisco Office of Cannabis to serve as a Technical Support Provider for the City's Cannabis Equity Program (2021–2023), working directly with city and state agencies who refer equity applicants and operators to us for support. It's how technical assistance reaches the people the underlying policy was meant to help.
